The Application for Membership must be made on the appropriate form and must be accompanied by a detailed CV and the payment of the fees (non refundable entrance fees and the first years annual subscription or Life Membership fees, as the case may be). Annual subscription fees shall be refundable, if membership is declined.

An applicant for admission as a Member must produce evidence satisfactorily to the committee that he is duly qualified to become as member of a class referred to in his application.

There are 2 types of membership :

  • Individual
  • Institutional

Individual Membership -

There shall be 3 classes of Individual Member, namely Associate, Member and Fellow Member.

Associate Membership: To become an Associate Member you must be over 21, qualified as a graduate or equivalent, and reached the position of senior management.

Member: To Qualify as member, in addition to the requirements for an "Associate Member", you should be holding a responsible position in business, industry or government equivalent to a Director for atleast 3 years.

Fellow: To be elected as a Fellow Member, one must satisfy certain additional requirements, as under:

Should be a Director of a listed company, for a minimum period of three years at the time of applying for fellowship. Have ten years of business experience at senior level and should have been awarded a DIN number.

Institutional Membership -
To be elected as Institutional member, the organisation should be operational in the concerned area.

Large Scale :- Annual Turnover above 500 Crore rupees.
Large scale Institutional Membership allows the organisation to nominate upto 4 senior executives.

SME's :- Annual Turnover upto 500 Crore rupees.
SME’s can nominate upto 2 senior executives.

All Cheques/Drafts to be made in favor of "INSTITUTE OF DIRECTORS" payable at New Delhi. Membership Fee can also be paid by Credit Card / Online.

Each member shall continue to be entitled to the Membership of the Institute only for so long as he/she shall comply with the code of professional conduct of the Institute and with the applicable conditions of and qualifications for membership and shall pay such Annual subscriptions/Life subscription, and other fees (if any) appropriate to his particular class of Membership as shall for the time being prescribed by or in accordance with the Institute laws.

P.S : IOD membership is not transferable.

Certificate of membership will be issued, once the membership category is decided and the due payment is received.

All Members will be required to subscribe to the IOD Code of Professional Conduct.

A Member shall:
  • Exercise leadership, enterprise and judgement in directing the company so as to achieve its continuing prosperity and act in the best interests of the company as a whole.
  • Follow the standards of Good practice and act accordingly and diligently.
  • Serve the legitimate interests of the Company’s shareholders.
  • Exercise responsibilities to employees, customers, suppliers and other relevant stakeholders, including the wider community.
  • Comply with relevant laws, regulations and Codes of practice, refrain from Anti-competitive practices, and honor obligations and commitments.
  • At all times have a duty to respect the truth and act honestly in his/her business dealings and in the exercise of all his/her responsibilities as a director.
  • Avoid conflict between his/her personal interests, or the interests of any associated company or person, and his/her duties to the company.
  • Not make improper use of information acquired as a director or disclose, or allow to be disclosed, information confidential to the company.
  • Not recklessly or maliciously injure the professional reputation of another member of the Institute of Directors and not engage in any practice detrimental to the reputation and interest of the Institute or of the profession of Director.
  • Ensure that he/she keeps him/herself abreast of current good practice.
  • Set high personal standards by keeping aware of and adhering to this Code, both in the spirit and in the letter, and promoting it to other directors.
  • Applying the principles of this Code appropriately, when acting as a Director of a non-commercial organization.
The Code is applicable to members of all types and size of organization.

  • No individual who has not attained the age of 21 shall be eligible to become a Member.
  • The Committee shall in all cases have absolute discretion in deciding whether or not any person shall or shall not be admitted as a Member, or to postpone the admission of the applicant for membership without giving any reason for so doing and notwithstanding that applicant may have fulfilled the conditions specified for membership.
  • The Committee may decline to admit a person as a member notwithstanding that the person has already been assured of Membership by another branch of the Institute anywhere globally.
  • Every member shall at all times so order his/her conduct as to uphold the dignity and reputation of the Institute.

A member shall cease to be so, forthwith upon the happening of any of the following events:
  • If he/she fails for a period of 3 months to pay any Annual subscriptions or other fees or amounts for the time being due from him/her to the institute. This does not apply to a Life Member, if fully paid.
  • If he/she becomes disqualified from being a Director by reason of any order under any statute.
  • If any receiving order is made against him/her or he/she makes any arrangement or composition with his/her creditors or he/she becomes a patient within the meaning of Mental Health.
  • If he/she is convicted of any crime involving Fraud, Deception, Dishonesty or physical violence against person or property or of any crime which the Committee in its sole discretion, resolves in sufficiently serious to justify the termination of his/her membership.
  • If he/she is removed from membership persuant to the Institute laws.
