Institute of Directors (IOD) believes that the problem of corporate misgovernance stems from the lack of effective training in company directorship. Corporate governance is not part of any regular course syllabus even in major business schools. This is despite the fact that recent board room reforms introduced in most countries have put the onus of responsibility on directors. Directors are facing prison sentences for failing to discharge their fiduciary roles. IOD, in conjuction with the World Council For Corporate Governance, UK has, therefore, developed a highly innovative programme that provides a unique learning experience on the roles and responsibilities of directorship and the state-of-the-art knowledge about the emerging issue of corporate governance thus helping internalize skills for leading corporations of 21 st Century.
Masterclass for directors encompassed state-of-the-art subjects such as leading corporate transformations, managing innovations, strategic planning, HR practices, finance, balanced scorecards, CRM, Six Sigma, corporate social responsibility, environment management apart from duties and responsibilities of directors and maximising effectiveness of company boards.
The programme is especially tuned to suit the vital needs of independent directors. Recent boardroom reforms have created thousands of vacancies of independent directors. The Masterclass is a pre-eminent qualification for such directorship.
The programme consists of 15 modules(It may vary) spread over a three-day period containing all that the directors need to know to lead a world-class organisation in the 21st Century. The total course will be followed by a submission of dissertation. The dissertation on a subject agreed with the course tutors has to be submitted within 3 months of the completion of the course. The Certificate is awarded by the World Council for Corporate Governance, UK after acceptance of the dissertation.

Importance of Training in Governance

Naresh Chandra Committee Report
In India, Naresh Chandra Committee has specially recommended compulsory training for all non-executive directors. One of its key recommendations is the appointment of 50% of board as independent non-executive directors. Such appointment of independent directors, whatever percentage is finally accepted by the government, will be meaningless if they are not trained effectively.
Recognition by World Council For Corporate Governance
To give a practical exposure, each participant is required to prepare a case study in the form of a dissertation on completion of the course. The "Certified Corporate Directorship " has been tied up to be awarded by the World Council for Corporate Governance (UK), on successful completion of all the 10 modules of the course followed by submissions and acceptance of dissertation.

Masterclass for Directors India would need over 40,000 Independent Directors, once the new Company Law., is in place. The proposed new Company Law seeks to empower the Government to make it MANDATORY for unlisted Public Companies to reserve at 33% for independent directors.
